Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mind & Mana platform and services (the "Service") provided by Mind & Mana LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

Mind & Mana provides a software platform for Amazon sellers, brands, and agencies. The Service connects to Amazon's Selling Partner API (SP-API) and Advertising API, with your explicit authorization, to retrieve and display seller data, automate advertising management, manage inventory, and enable automated repricing. The Service is provided as a software-as-a-service (SaaS) offering.

2. Eligibility

You must be at least 18 years of age and have a valid Amazon Seller Central and/or Amazon Advertising account to use the Service. By using the Service, you represent that you are authorized to access and share the Amazon account data you connect to Mind & Mana.

3. Account Registration

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at tech@mindandmana.com if you become aware of any unauthorized use of your account.

4. Amazon API Authorization and Data Use

By connecting your Amazon Seller Central or Amazon Advertising account to Mind & Mana, you authorize us to access your Amazon data through Amazon's SP-API and Advertising API for the purpose of providing the Service. You acknowledge that:

• Mind & Mana accesses your Amazon data solely to provide the features you have enabled.
• You can revoke this authorization at any time through your Amazon Seller Central or Advertising Console account settings. Revoking access will disable features that depend on the connected account.
• Mind & Mana will use your Amazon data in accordance with our Privacy Policy and Amazon's API usage policies.
• You remain solely responsible for your Amazon account and for ensuring your use of the Service complies with Amazon's Seller Central policies and Advertising policies.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or Amazon policy
• Transmit malicious code, viruses, or any software designed to interrupt or damage the Service
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use the Service in any way that violates Amazon's Selling Partner API Developer Agreement or Advertising API terms
• Resell or sublicense access to the Service without written permission from Mind & Mana LLC

6. Automated Actions

The Service may perform automated actions on your Amazon account on your behalf, including but not limited to price adjustments, bid changes, and keyword additions or negations. You acknowledge that:

• You are solely responsible for the configuration of all automated rules and the outcomes of those automated actions.
• Mind & Mana is not liable for any financial loss resulting from automated repricing or advertising actions that you have configured or enabled.
• You should monitor automated features regularly and adjust settings as needed.

7. Intellectual Property

The Service, including all software, designs, and content provided by Mind & Mana, is the intellectual property of Mind & Mana LLC and is protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your own business purposes during the term of your subscription.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIND & MANA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Mind & Mana LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and costs (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights, including Amazon's policies.

11. Termination

You may terminate your account at any time by contacting us at tech@mindandmana.com. We reserve the right to suspend or terminate your access to the Service at any time if we determine you have violated these Terms or applicable policies, with or without notice.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction in the United States.
